Turnkey Business Inventory Auction Terms & Conditions Terms and Conditions - To Bid and Buy

 ONLINE REGISTRATION & IDENTIFICATION: At the time of online registration at rapid-sell.ca, we collect information about you to verify who you are before you can bid. We collect credit card information as part of the process to ensure that you are a qualified buyer. All bidders must be of legal age to bid.

 BIDDERS AGREEMENT: All Potential Bidders must complete, sign and submit a Bidders Agreement prior to Thursday, March 27th, 2025 at 10am to qualify & participate to bid in this auction. Completed agreements may be delivered to our office in person at 5665 Watson Rd N, Guelph Ontario or emailed to info@rapid-sell.ca or faxed to 519-766-9008. Agreements may be obtained by phoning 1-519-763-1856 or emailing info@rapid-sell.ca.

 REQUIRED DEPOSIT: A deposit of $5,000.00 by certified funds or bank draft payable to David Moore & Associates or email transfer to info@rapid-sell.ca. Please check your email transfer daily limits in advance as 100% of deposit must be received no later than Thursday, March 27th, 2025 at 10am to qualify to bid. (Deposit is fully refunded if not the winning bidder.)

ONLINE REGISTRATION, COMPLETED BIDDERS AGREEMENT & the REQUIRED DEPOSIT must be received by David Moore & Associates / Rapid-Sell.ca no later than Thursday, March 27th, 2025 at 10am to qualify to bid.

NO RESERVE: This business inventory will be sold unreserved to the highest and final qualified bidder. FOR THE WINNING BIDDER: $10,000.00 will be due by certified funds or bank draft (payable to David Moore & Associates) along with the signed and completed Offer to Purchase by 4:00pm on Friday, March 28th, 2025. Remaining balance due Thursday, April 17th , 2025 or sooner, agreeable by both parties.

REVIEWING YOUR BID: During an auction you can check the status of your bid at anytime. Note that no bids can be withdrawn during or after the auction for any reason. Business inventory is sold in as is condition, where is, with all faults and with no liens or encumbrances on closing. Failure to comply with auction rules and platform will be a forfeit of deposit.

BIDDING NOTIFICATIONS: You can choose to be notified by e-mail during the auction if you have been outbid. Buyers must use max bid option or be present on computer during auction closing to be successful and maintain your own current bids. Rapid-Sell.ca is not responsible for any computer interruption of service during this timed auction.

CONDITIONS OF ITEMS SOLD & OUR ONLINE CATALOGUE: Our best efforts are made to represent the inventory accurately in descriptions and photographs; however, all auction items are ultimately sold on an 'as is, where is' basis, with all faults as seen. We strongly encourage all bidders to personally verify the condition of the subject inventory during the pre-arranged preview time or by appointment. No responsibility is assumed by Rapid-Sell or the seller for any errors or omissions.

PERSONAL & PROPERTY RISKS: We will not be liable for damage or injury to individuals or their property in regards to this auction. BUYERS: The BUYER expressly agrees to indemnify and save Rapid Sell, the Seller and their assigns harmless from and against all claims, losses, expenses, damage or liability, directly or indirectly caused by or resulting from an act, including the negligent acts or omissions of Rapid Sell, or anyone acting in his/her behalf in connection with or arising out of auction. All bidders/buyers must be of legal age.

A Buyers premium for this Unreserved Business Inventory auction is 10%

AUCTION RECORDS: In the unlikely event of a dispute, you agree to accept as true the information that we have in our records.

SOFT CLOSE: To prevent a bidder from 'high speed internet sniping', all bids made in the last minute of the auction will force an item to stay open for an additional 2 minutes. This will continue until all bidding has ceased.

STRATEGY: We recommend that ALL BIDDERS put in their maximum bid when placing a bid online. This does not mean you will have to pay the amount you bid; you only pay one bid more than the next highest bid, and only up to your maximum bid. The software system will play out the bids as you would at a live auction and only uses the funds required to beat out the under-bidder at the prescribed bid increment. All written and signed Agreement of Purchase & Sales and Bidders Agreements take precedence over all other noted documentation. By bidding you are acknowledging agreement with the terms above. Do not bid unless you understand & agree to all these terms.
